| Tortilis Africa Investments will be managed by
a dedicated team of people within IIA Management, refer to
Annexure I for more detail on the company and the management
team. |

Where Participating and Investment lodges do not require management,
marketing and reservation services from IIA Management, a service level
and participation agreement will be entered into with the lodge on the
basis that service levels and ethos is maintained at levels specified by
Tortilis Africa Investments. The service level agreements will allow for
IIA Management to monitor the service and ethos levels and to run a
parallel reservation system in order to monitor and facilitate bed-night
reservations for Tortilis Africa Leisure. |
| For wholly owned Investment lodges and where required by the other
Investment and Participating lodges, IIA Management will enter into
management, marketing, sales and reservations agreements with these
lodge whereby IIA Management will manage, market and perform all the
sales and reservations functions for the lodge. |
