| Tortilis Africa Leisure will be managed by IIA
Management and will be responsible for all sales, marketing and
management. IIA Management responsibilities will include, inter alia: |

- The management of bed-night reservations and bookings through the
central reservations department;
- Management of all reservations and communication related to
these reservations;
- Invoicing of confirmed reservations;
- Invoicing of consumption fees payable by the Members; and
- On-going mailings to Members. The mailings, newsletters,
specials and product updates do be done on a monthly basis.
